Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the ProxFarm platform, website, and services (collectively, “Services”), operated by ProxFarm (“we”, “us”, or “our”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with any provision, you must stop using the Services immediately.

2. Eligibility

To use ProxFarm, you must be at least 18 years old (or the age of legal majority in your jurisdiction), have full legal capacity to enter into contracts, and not be barred from using our Services under applicable laws or sanctions lists.

You represent that all information you provide is accurate, current, and complete, and that you will update it as needed.

3. The Service

ProxFarm is a participatory digital asset management platform. Users may deposit digital assets into a Trading Wallet and a Secure Vault, activate daily sessions to accrue returns generated by professional traders on the platform, and transfer funds between wallets subject to the rules below.

We do not custody fiat currency. Any reference to balances in US dollars or other fiat currencies is for display purposes only and reflects the value of the underlying digital assets at a given time.

4. Accounts & Security

• You are responsible for all activity that occurs under your account.
• You must safeguard your credentials (password, magic-link email, any multi-factor methods) and not share them with anyone.
• Notify us immediately at security@prox.farm of any unauthorised access or suspected breach.
• We may suspend or terminate your account at any time if we reasonably believe it has been compromised or is being used in violation of these Terms or applicable law.

5. Daily Sessions & Returns

Daily session returns (currently targeted at 1.5% on the Trading Wallet balance) are not guaranteed. They depend on the performance of professional traders active on the platform and may be zero or negative on any given day. Past performance does not guarantee future results.

Streak multipliers and other incentive mechanics may be adjusted or discontinued at our discretion with reasonable prior notice, except when required sooner for legal, security, or risk-management reasons.

6. Transfer Penalty

Transfers from the Trading Wallet to the Secure Vault within 24 hours of the last trading activity may incur an early-transfer penalty (currently 20% of the transferred amount). This penalty is intended to align participant behaviour with the session cycle and is clearly disclosed before confirmation of each transfer.

7. Referrals & Team Rewards

Referral bonuses and team rewards unlock only after the referred user has completed at least three consecutive daily sessions. Rewards obtained through abuse (including self-referral, multi-accounting, or incentive manipulation) will be reversed and may result in account suspension.

8. Prohibited Conduct

You agree not to:

• Use the Services for money laundering, terrorism financing, or any unlawful purpose;
• Submit false or misleading information, or impersonate another person or entity;
• Attempt to gain unauthorised access to other accounts or to our systems;
• Interfere with, disrupt, or exploit the Services, including through automated scraping or stress testing without written permission;
• Introduce malware, viruses, or any harmful code.

9. Fees

Fees (if any) are disclosed before each action that incurs them. We may change our fee schedule with reasonable prior notice. Third-party network fees (e.g. blockchain gas) are not charged by us and are not refundable.

10. Intellectual Property

ProxFarm, the ProxFarm logo, the wave and gold motifs, and all content on the platform (excluding user-submitted content) are our intellectual property or licensed to us. You are granted a limited, non-transferable, revocable licence to use them solely to access the Services.

11. Disclaimer & Limitation of Liability

The Services are provided “as is” and “as available” without warranties of any kind. To the maximum extent permitted by applicable law, ProxFarm disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

In no event shall our aggregate liability to you exceed the greater of (a) the amount of fees paid by you to us during the 12 months preceding the event giving rise to liability, or (b) USD 100. We are not liable for market losses, delayed or failed blockchain transactions, third-party service outages, or any indirect, incidental, or consequential damages.

12. Termination

You may close your account at any time from the settings page, subject to pending transactions and applicable penalties. We may suspend or terminate your access with or without notice if you violate these Terms. Upon termination, provisions that by their nature should survive (including disclaimers, indemnities, and limitation of liability) will remain in effect.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or an in-app notice at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of Tunisia, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be submitted to the exclusive jurisdiction of the courts of Tunis, unless applicable consumer-protection laws require otherwise.
